5. Payment Terms & Subscription Billing
Britannia Ledger LTD operates on a fixed-fee, Monthly Recurring Revenue (MRR) model to provide predictable cash flow for our clients and ensure continuous support.
- Monthly Retainer: Annual compliance and advisory fees are divided into equal monthly installments, typically collected via direct debit.
- Upfront Payments: In certain circumstances, an initial upfront retainer may be required to commence work, which will be clearly outlined in your Letter of Engagement.
- Payment Default: Failure to maintain monthly payments may result in the suspension of services, including the halting of HMRC or Companies House filings until the account is brought up to date.
6. Cancellation and Refund Policy
We operate a fair and ethical cancellation policy.
- Clients are free to terminate their engagement with Britannia Ledger LTD at any time by providing standard written notice (as defined in your Letter of Engagement).
- Refund of Unapplied Funds: Because our monthly payments act as a "sinking fund" for year-end statutory work, if you choose to leave the firm before the financial year-end work is completed, we will calculate the value of the ongoing services already provided (e.g., monthly bookkeeping, payroll) and fully refund any extra money you have paid toward unfulfilled year-end filings.
7. Client Responsibilities
To enable us to provide our services effectively and ensure Making Tax Digital (MTD) compliance, you agree to:
- Provide full, accurate, and timely financial information and documentation as requested.
- Ensure that your business operates in compliance with UK law.
- Maintain the security of any shared software credentials or portals provided by us.
8. Intellectual Property
This website contains material which is owned by or licensed to us. This material includes, but is not limited to, the design, layout, look, appearance, and graphics. Reproduction is prohibited other than in accordance with the copyright notice, which forms part of these terms and conditions.
9. Limitation of Liability

Our total liability for any claim arising out of or in connection with our services shall be limited to the fees paid by you for the specific service in question, subject to the detailed terms in your Letter of Engagement.
10. Governing Law and Jurisdiction
Your use of this website and any dispute arising out of such use of the website or our services is subject to the laws of England and Wales. Any legal disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
